Ah, ok I see where you are. Ok so then this is a bit harder since in this instance the shares are already allocated and in-effect fully vested. So then your only course of action is to have a direct and difficult discussion with the fair value contribution of fund and work relative to the equity assigned.
In other words confront the confounded and challenge either work more or give up equity.
If they disagree, simply stop working. Open your own new company and work under the new company without the cofounder, basically the company with the cofounder will then fall “dormant” since there will be no billing’s; then you can basically give up your shares in it since it’s essentially valueless.
